Terms of Use

These Terms of Use (“Terms”) govern access to and use of the CasTV.ai digital-signage management platform, our websites and APIs, and the player/agent applications we provide for televisions and media devices (collectively, the “Service”), provided by CasTV.ai (“CasTV.ai”, “AURA”, “we”, “us”, or “our”). By installing, accessing, or using the Service, you agree to these Terms. If you do not agree, do not use the Service. If you use the Service on behalf of an organization, you represent that you are authorized to bind that organization, and “you” refers to that organization.

1. Definitions

  • “Customer” — the organization that holds an account and manages displays.
  • “Player” / “Agent” — the CasTV.ai application installed on a television or media device that pairs with a Customer account and plays deployed content.
  • “Customer Content” — media, playlists, schedules, text, and other materials that a Customer uploads, configures, or deploys through the Service.
  • “Device” — a television, display, or media device running the Player.

2. The Service

CasTV.ai lets Customers remotely manage screens, deploy and schedule content, synchronize video walls, monitor playback, and generate reporting. The Player is a managed application: it is intended to be provisioned by a Customer using a registration key and to operate under the Customer’s control. The Player is not a general-purpose media browser and does not provide standalone consumer content on its own.

3. Eligibility and accounts

  • You must be at least the age of majority in your jurisdiction and capable of forming a binding contract.
  • You are responsible for the accuracy of account information, for safeguarding credentials and registration keys, and for all activity under your account.
  • You must promptly notify us of any unauthorized use or suspected security breach.

4. Device registration and license

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to install and use the Player on Devices you own or control, solely to receive and operate the Service in connection with your account. On registration, the Service may issue a per-device credential and collect device information as described in the Privacy Policy. We may issue updates to the Player, which these Terms also cover.

5. Customer Content and responsibility

You are solely responsible for Customer Content and for ensuring you have all rights, licenses, and permissions necessary to display it, including any music, video, images, fonts, trademarks, and third-party materials, and for its compliance with all applicable laws.

You retain ownership of Customer Content. You grant us a worldwide, non-exclusive license to host, cache, transmit, transcode, display, and process Customer Content solely to provide the Service. You represent that Customer Content does not infringe third-party rights and is not unlawful, defamatory, obscene, or otherwise objectionable.

6. Acceptable use

You agree not to, and not to permit others to:

  • Use the Service in violation of any law or third-party right, or to display unlawful, infringing, or harmful content;
  • Reverse engineer, decompile, or attempt to derive source code, except to the extent such restriction is prohibited by law;
  • Interfere with, disrupt, or circumvent the security, integrity, or performance of the Service, or attempt unauthorized access to any account, device, or system;
  • Resell, sublicense, or provide the Service to third parties except as expressly permitted;
  • Use the Service to build a competing product or to scrape or extract data other than your own.

7. Intellectual property

The Service, including all software, interfaces, and content we provide (excluding Customer Content), and all related intellectual-property rights, are and remain the property of CasTV.ai and its licensors. Except for the limited license granted above, no rights are granted to you. “CasTV.ai”, “AURA”, and associated logos are our trademarks and may not be used without permission.

8. Third-party services

The Service may interoperate with third-party platforms, device operating systems, and app stores. Your use of those third-party services is governed by their terms, and we are not responsible for them.

9. Fees and subscriptions

Access to paid features is subject to the plan or order you agree to, including any separate subscription or master services agreement. Unless stated otherwise, fees are non-refundable, and we may change fees prospectively on notice.

10. Privacy

Our collection and use of information is described in the Privacy Policy, which is incorporated by reference. You are responsible for providing any notices to, and obtaining any consents from, your personnel and end users as required for your use of the Service.

11. Disclaimers

The service is provided “as is” and “as available” without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the service will be uninterrupted, error-free, or secure, or that content will always play without interruption.

12. Limitation of liability

To the maximum extent permitted by law, CasTV.ai and its affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or goodwill, arising out of or relating to the service. Our total aggregate liability for all claims relating to the service will not exceed the amounts you paid to us for the service in the twelve months preceding the event giving rise to the claim, or, if you use the service without charge, one hundred US dollars (US$100).

13. Indemnification

You will defend, indemnify, and hold harmless CasTV.ai and its affiliates from and against any claims, damages, liabilities, and expenses (including reasonable legal fees) arising from Customer Content, your use of the Service, or your breach of these Terms.

14. Term and termination

These Terms apply while you use the Service. You may stop using the Service at any time. We may suspend or terminate access if you breach these Terms, if required by law, or to protect the Service or other users. Upon termination, the licenses granted to you end and you must cease using the Player; sections that by their nature should survive (including ownership, disclaimers, limitation of liability, and indemnification) will survive.

15. Governing law and disputes

These Terms are governed by the laws of the jurisdiction in which CasTV.ai is established, without regard to conflict-of-laws rules. The courts located in that jurisdiction will have exclusive jurisdiction, except that either party may seek injunctive relief in any court of competent jurisdiction to protect its intellectual property or confidential information.

16. Changes to these Terms

We may update these Terms from time to time. We will revise the “Last updated” date and, for material changes, provide additional notice. Your continued use of the Service after an update constitutes acceptance of the revised Terms.

17. Miscellaneous

These Terms, together with any order or agreement you enter with us and the Privacy Policy, are the entire agreement between you and us regarding the Service. If any provision is held unenforceable, the remaining provisions remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets. Nothing in these Terms creates a partnership, agency, or employment relationship.
